“Services” means Kinetyq’s asset monitoring platform, analytics software, predictive risk scoring tools, dashboards, APIs, and related services.
“Customer” means the entity subscribing to the Services.
“Telemetry Data” means operational data generated by enrolled vehicles or assets.
“Outputs” means reports, health scores, risk scores, analytics, and derived insights generated by Kinetyq.

The Services are not designed to prevent accidents or mechanical failures.

Account Responsibilities
Customer agrees to:
● Provide accurate registration information
● Maintain confidentiality of credentials
● Restrict access to authorized users
● Mechanical Repair Services
● Safety Critical Emergency Response Systems

● Ensuring proper installation by qualified personnel
● Ensuring vehicle compatibility
● Safeguarding devices from tampering or misuse
Kinetyq is not liable for:
● Hardware defects
● Installation errors
● Network outages
● Incomplete vehicle parameter availability
Performance depends on third-party hardware and network conditions.

● Risk Scoring System
● Aggregrated and anonymised datasets
Kinetyq grants Customer a limited, non-exclusive, non-transferable license to use the Services and Outputs for internal business purposes during the subscription term.
Customers may not:
● Reverse engineer models
● Attempt to extract algorithms
● Use Outputs to train competing systems
Kinetyq may retain anonymized and aggregated datasets after termination for model development

● Resell the Services without permission

● Scores do not guarantee outcomes
● Operational and financial decisions remain Customer’s responsibility
Kinetyq shall not be liable for losses arising from reliance solely on predictive analytics.
Customer should consult qualified professionals for mechanical or financial decisions.

Kinetyq provides predictive insights based on available data.
Customer acknowledges that:

Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.
Assignment
Kinetyq may assign these Terms in connection with a merger, acquisition, or restructuring.
Customer may not assign without prior written consent.
Modifications
Kinetyq may update these Terms by providing notice via website or email.
Continued use after notice constitutes acceptance.
